Terms of Service

1. Acceptance of Terms

By accessing or using ClippingClub's website, services, or platform (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services. These Terms apply to all clients, clippers, agencies, and visitors.

2. Services Description

ClippingClub operates a viral content distribution network where independent content creators ("Clippers") post branded content on behalf of clients across platforms including X (formerly Twitter), TikTok, Instagram, YouTube, and Facebook. We offer two primary campaign types:

• Watermark Campaigns — Brand logo overlaid on viral content clips, priced at 100 USDT per 1,000,000 verified views.
• Clipped Media Campaigns — Full branded video clips posted by clippers, priced at 400 USDT per 1,000,000 verified views.

All prices are exclusive of a 20% management fee. Views are verified by our Bot Police system which filters out fraudulent, bot-generated, or low-quality traffic.

3. Payment Terms

All payments are accepted in USDT (TRC20 network). Payments are non-refundable once a campaign has launched. Campaign budgets must be deposited in full before distribution begins. ClippingClub reserves the right to pause or cancel campaigns that violate these Terms or applicable platform policies.

4. Campaign Eligibility

Clients are responsible for ensuring their campaign content and brand are compliant with all applicable laws and the terms of service of distribution platforms. ClippingClub reserves the right to refuse or terminate campaigns for content that is:

• Illegal in any applicable jurisdiction
• Promoting harmful, deceptive, or fraudulent products or services
• In violation of platform-specific policies (X, TikTok, Instagram, etc.)
• Related to unlicensed financial instruments, securities fraud, or pyramid schemes

Regulated industries (iGaming, crypto, sports betting) must ensure they hold all necessary licenses and consents in their target jurisdictions. ClippingClub does not verify licensing and accepts no liability for regulatory non-compliance by clients.

5. Views Guarantee

ClippingClub guarantees delivery of the agreed view count as verified by our Bot Police system. If a campaign does not reach the contracted view target within the agreed timeframe, we will extend the campaign at no additional cost until the target is met. This guarantee does not apply if the campaign is paused or terminated by the client or due to a violation of these Terms.

6. Intellectual Property

Clients retain ownership of their brand assets, logos, and video content. By submitting content for distribution, clients grant ClippingClub a non-exclusive, royalty-free license to reproduce and distribute that content via our clipper network for the duration of the campaign. ClippingClub retains ownership of all platform infrastructure, tooling, and the ClippingClub brand.

7. Clipper Obligations

Individuals participating as Clippers agree to: post only pre-approved content as briefed, not engage in artificial view inflation or bot activity, disclose sponsored content where required by applicable law or platform policy, and maintain active accounts in good standing on relevant platforms. Clippers who violate these obligations may be removed from the platform and forfeit any pending payments.

8. Limitation of Liability

To the maximum extent permitted by law, ClippingClub's total liability for any claim arising from use of the Services shall not exceed the amount paid by the client for the relevant campaign. ClippingClub is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available." ClippingClub makes no warranties regarding the accuracy, completeness, or reliability of any content, views estimates, or campaign projections. Viral reach is inherently variable and past campaign results (including published case studies) are not guarantees of future performance.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Estonia (EU). Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Estonia, unless otherwise agreed in writing.

11. Changes to Terms

ClippingClub reserves the right to modify these Terms at any time. We will notify users of material changes via our website. Continued use of the Services after any changes constitutes acceptance of the new Terms.
